Terms and Conditions
The rules that govern your use of the complead website and services.
About these Terms
The terms that govern your use of the complead website, free tools, trials, and content, including acceptable use, intellectual property, disclaimers, liability limits, and dispute resolution.
Applies to: complead.ai, its subdomains, free tools, content, and any complead account or trial accessed through the site. Provider: complead Inc., a Delaware corporation, 1401 Pennsylvania Ave., Unit 105, Wilmington, DE 19806, New Castle County, United States.
1. Agreement to these terms
These Terms of Use (“Terms”) are a legal agreement between you and complead Inc. (“complead,” “we,” “us,” or “our”). They govern your access to and use of complead.ai, our free tools, blog, knowledge base, reports, webinars, demo requests, evaluation accounts, and any other service we make available through the site (the “Site”).
By accessing or using the Site, you accept these Terms. If you do not accept them, do not use the Site.
If you use the Site on behalf of a company or other organization, you represent that you are authorized to bind that organization, and “you” means that organization.
2. Relationship to the customer agreement
Paid use of the complead platform, including the Fusion platform, screening, monitoring, and fraud products, and any API, is governed by the separate written agreement signed between complead and the customer (the “Customer Agreement”), together with its order form, data processing addendum, and service level terms.
Where these Terms conflict with a Customer Agreement, the Customer Agreement controls for the services it covers. These Terms continue to govern use of the public Site.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract. The Site is intended for business use by regulated and commercial organizations, not for consumers.
You may not use the Site if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, or if you are listed on any U.S., EU, UK, or UN restricted party list, including the OFAC Specially Designated Nationals list.
4. Accounts and trials
Some features require an account. You agree to provide accurate registration information, keep it current, safeguard your credentials, enable multi-factor authentication where offered, and notify us at security@complead.ai of any suspected unauthorized access. You are responsible for all activity under your account.
Trials, sandboxes, proofs of concept, and beta features are provided for evaluation only, may be changed or withdrawn at any time, and are provided as is without warranty or service level commitment. Do not use them for production compliance decisions.
5. Free tools and informational content
Our free tools, including sanctions checks, PEP checks, adverse media checks, crypto wallet risk checks, BIC lookups, the country risk index, and risk calculators, and our blog, guides, glossary, country regulation pages, reports, and webinars, are provided for general information only.
They are not legal, regulatory, compliance, tax, investment, or professional advice, and they do not constitute a regulatory determination about any person or entity. Results from free tools are limited in scope, may be incomplete or out of date, and must not be relied on as a substitute for your own screening, due diligence, and documented compliance program. You remain solely responsible for your regulatory obligations and for any decision you take about a customer, counterparty, or transaction.
6. Data, matches, and AI output
Our databases are compiled from government sanctions and watchlists, regulatory and enforcement publications, official registries, licensed third-party sources, and media. We take reasonable care in aggregating and updating these sources, but we do not control them and do not warrant that they are accurate, complete, current, or free from error, duplication, or omission.
Screening produces probabilistic matches. A match is not a finding that a person or entity is sanctioned, a politically exposed person, or involved in wrongdoing, and the absence of a match is not a finding that they are not. All matches, alerts, risk scores, and AI-generated summaries or recommendations require human review by qualified personnel before any decision is made. You must not rely on automated output alone to refuse, restrict, terminate, or report on any person.
AI features may produce output that is inaccurate or incomplete. You are responsible for reviewing output before using it, and for meeting any transparency, human-review, or record-keeping obligations that apply to your use of it.
7. Acceptable use
You may not, and may not permit anyone else to:
- use the Site or any output to harass, discriminate against, defame, stalk, or unlawfully profile any person;
- scrape, crawl, harvest, or bulk-extract content, data, or search results, or use automated means to access the Site other than through an API we have authorized in writing;
- copy, resell, sublicense, redistribute, or make available to third parties any data, report, or output except as expressly permitted by a Customer Agreement;
- reverse engineer, decompile, or attempt to derive the source code, models, scoring logic, or database structure of the Service, except to the extent this restriction is unenforceable under applicable law;
- probe, scan, or test the vulnerability of our systems, circumvent authentication, rate limits, or access controls, or interfere with the operation of the Site (coordinated disclosure to security@complead.ai is welcome and is not a breach of this clause);
- submit malicious code, or content you do not have the right to submit;
- use the Site to develop or train a competing product or dataset, or to benchmark it for publication without our prior written consent;
- use the Site in violation of applicable law, including data protection, sanctions, and export control law;
- misrepresent your identity or affiliation, or use a false business identity to obtain access.
We may suspend or terminate access immediately where we reasonably believe this section has been breached, or where continued access creates legal, security, or regulatory risk.
8. Your content and submissions
You retain ownership of information you submit through the Site, including search queries, form entries, and files (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and transmit Your Content solely to operate and improve the Site and to provide what you asked for.
You represent that you have the rights and, where required, the lawful basis to submit Your Content, including any personal data about third parties.
If you send us feedback, ideas, or suggestions, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation or attribution.
Do not submit sensitive personal information, government identification numbers, payment card data, or confidential client files through public forms, free tools, or chat.
9. Intellectual property
The Site, the platform, the underlying software, models, databases, compilations, design, text, graphics, and the complead, Fusion, Nova AI, and Sanction Scanner names and logos are owned by complead or its licensors and are protected by intellectual property and unfair competition law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business evaluation. You may print or download individual pages for your own internal use. All other rights are reserved.
You may quote short extracts of our public research or blog content with clear attribution and a link to the source page. You may not republish substantial portions, reproduce our reports in full, or use our marks in a way that suggests endorsement or partnership without our prior written consent.
10. Third-party content, links, and integrations
The Site links to third-party sites and may display third-party data and marks. We do not control and are not responsible for third-party content, products, terms, or privacy practices. Integrations you or your organization enable are governed by the relevant third party’s terms.
11. Privacy
Our handling of personal information is described in our Privacy Policy and Cookie Policy, which form part of these Terms.
12. Availability and changes
We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. The public Site is provided without any uptime commitment; service levels for the platform, where agreed, are set out in the Customer Agreement.
We may update these Terms. The current version is always posted here with its “Last updated” date. Material changes take effect when posted, or on the date we state. Continuing to use the Site after that date means you accept the updated Terms.
13. Disclaimers
THE SITE, FREE TOOLS, CONTENT, DATA, AND ANY OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT SCREENING RESULTS ARE COMPLETE OR ACCURATE, THAT ANY LIST OR RECORD IS CURRENT, OR THAT USE OF THE SITE WILL RESULT IN COMPLIANCE WITH ANY LAW OR REGULATION.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLEAD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, REGULATORY FINES OR PENALTIES, REPUTATIONAL HARM, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SITE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD 100).
Liability for paid services is governed by the Customer Agreement. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
15. Indemnity
You will defend, indemnify, and hold harmless complead and its affiliates from and against any third-party claim, and any resulting loss, damage, liability, cost, and reasonable attorneys’ fees, arising out of your use of the Site, Your Content, your breach of these Terms, or your violation of any law or third-party right.
16. Term and termination
These Terms apply while you use the Site. We may suspend or terminate your access at any time, with or without cause. Sections 5 through 9 and 13 through 19 survive termination.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before starting a formal proceeding, the parties will try in good faith to resolve the dispute by contacting legal@complead.ai and negotiating for at least thirty (30) days.
Arbitration. Any dispute not resolved informally will be finally settled by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, before one arbitrator, seated in Wilmington, Delaware, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect its intellectual property or confidential information.
No class actions. Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
If arbitration is held unenforceable, the state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to that jurisdiction and venue.
18. Export control and U.S. government users
You must comply with U.S. export control and sanctions laws, including the Export Administration Regulations and OFAC regulations, and must not export, re-export, or make the Site available in violation of them. If you are a U.S. government entity, the Site is “commercial computer software” and is provided with the rights set out in FAR 12.212 and DFARS 227.7202.
19. General
These Terms, with the Privacy Policy, Cookie Policy, and any Customer Agreement, are the entire agreement between us regarding the Site. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, agency, or employment relationship. Notices to us go to legal@complead.ai and, for formal service, to our registered agent, Reggae Registered Agents Inc., 1401 Pennsylvania Ave., Unit 105, Wilmington, DE 19806, United States. We are not liable for delay or failure caused by events beyond our reasonable control.
